Information and Content Disclaimer

Content made available on Capexium, including listings, profiles, descriptions, summaries, uploaded documents, communications, statistics, visuals, tags, indicators, and other platform materials, may be provided by users, third parties, automated workflows, or internal platform formatting processes.

Capexium does not guarantee the completeness, accuracy, timeliness, reliability, legality, merchantability, commercial viability, suitability, or authenticity of any content, data point, statement, or commercial representation appearing on or transmitted through the platform.

No Legal, Financial, Tax, or Investment Advice

Capexium does not provide legal advice, investment advice, financial advice, tax advice, accounting advice, regulatory advice, valuation advice, audit services, or other professional advice through the platform unless expressly stated in a separate signed engagement.

Any platform content, response, communication, feature output, status label, listing visibility, search result, transaction indication, or account presentation is provided for general informational and operational purposes only and must not be relied upon as a substitute for independent professional advice.

No Brokerage, Agency, or Fiduciary Relationship

Unless Capexium expressly agrees otherwise in a separate written contract, Capexium does not act as broker, dealer, placement agent, escrow agent, finder, intermediary with fiduciary obligations, trustee, custodian, or mandated representative of any user, investor, seller, advisor, or transaction participant.

Use of the platform does not create any partnership, joint venture, agency, fiduciary, employment, or formal advisory relationship between Capexium and any user solely by reason of registration, listing, communication, payment, or platform participation.

No Reliance and Independent Verification

Users are solely responsible for independently verifying all material facts, commercial claims, ownership statements, legal rights, financial information, identity details, regulatory matters, documentation, counterparties, transaction structures, payment arrangements, valuations, and strategic assumptions before relying on any content or proceeding with any commercial or investment decision.

Capexium strongly expects users to obtain independent legal, financial, tax, compliance, and technical advice where appropriate and to conduct their own due diligence before entering into negotiations, disclosing sensitive information, making payments, executing documents, or pursuing transactions.

Listings, Profiles, and User Statements

Listings, member profiles, investor profiles, account descriptions, listing summaries, and related statements may contain estimates, projections, opinions, expectations, forward-looking commercial language, or user-generated claims. Capexium does not adopt, approve, confirm, or guarantee such statements solely by allowing them to appear on the platform.

Publication, display, ranking, highlighting, premium positioning, badge status, profile visibility, or search inclusion must not be interpreted as a representation by Capexium that the underlying person, opportunity, content, or transaction is accurate, lawful, investment-worthy, solvent, verified, or suitable.

Communications and Introductions

Capexium may facilitate messaging, contact requests, introductions, proposal flows, profile interactions, and other communications between users. These tools are provided as platform functionality only.

Capexium does not guarantee the identity, intent, seriousness, solvency, authority, truthfulness, responsiveness, confidentiality practices, or good faith of users who communicate through the platform, and does not guarantee that any contact, introduction, or proposal will result in meaningful negotiations, acceptable terms, funding, sale, acquisition, or other commercial outcome.

Verification, Moderation, and Platform Review

Capexium may apply account review, listing review, profile moderation, contact controls, readiness checks, operational review, or visibility conditions as part of platform administration. Such measures are undertaken for platform management, integrity, quality control, abuse prevention, and risk reduction only.

Any review, approval, moderation outcome, account activation, publication decision, feature access, or profile visibility state does not constitute legal certification, regulatory clearance, financial due diligence, background guarantee, fraud-free confirmation, or commercial endorsement by Capexium.

Platform Availability and Technical Disclaimer

Capexium does not warrant uninterrupted access, continuous uptime, permanent feature availability, error-free functionality, secure data transmission, bug-free operation, compatibility with all devices, or immunity from delay, outage, corruption, cyber events, technical interruption, software defects, or third-party infrastructure failure.

The platform and all related services are provided on an “as is” and “as available” basis to the fullest extent permitted by law.

Automated Access and Data Collection Disclaimer

Capexium does not grant any right, licence, permission, or implied authorization for third parties to scrape, crawl, harvest, extract, copy, index, enrich, aggregate, download, resell, train on, or reuse platform content, marketplace data, listings, profiles, communications, contact details, images, files, forum activity, article content, or other information made available through Capexium.

Public availability of a page, profile, listing, article, or marketplace result does not mean the data is free for automated collection, lead generation, sales intelligence, artificial intelligence training, database creation, competitive monitoring, commercial reuse, or external publication.

Capexium may use technical controls, firewall rules, bot detection, rate limiting, access restrictions, traffic review, and other protective measures to detect, block, throttle, investigate, or deny automated access, suspicious crawling, unauthorized data collection, or misuse of platform content.

Third-Party Services and External Content

Capexium may incorporate, connect with, display, depend on, or link to third-party infrastructure, payment providers, messaging providers, plugins, analytics systems, cloud services, external websites, documents, media, software tools, and other resources not controlled by Capexium.

Capexium is not responsible for the accuracy, legality, availability, security, privacy practices, content, uptime, performance, or conduct of such third-party services or sources. Use of third-party services remains subject to the separate terms and policies imposed by those providers.

Cross-Border and Regulatory Disclaimer

Because Capexium may be accessed internationally, users are solely responsible for ensuring that their use of the platform and any transaction, communication, fundraising activity, offer, disclosure, or commercial conduct arising from the platform complies with all applicable local, national, and international laws, regulations, sanctions, licensing requirements, privacy obligations, tax rules, securities restrictions, export controls, anti-bribery laws, and anti-money laundering requirements.

Capexium does not represent that platform content, listings, user conduct, or transaction structures are lawful or suitable in every jurisdiction, and no platform availability should be interpreted as legal authorization for use in any specific territory.

Transaction and Outcome Disclaimer

Capexium does not guarantee that any listing will attract investors, that any investor will fund an opportunity, that any seller will close a transaction, that any proposal will be accepted, that any negotiation will progress, or that any commercial discussion will produce an executed deal, completed payment, enforceable document, or successful outcome.

All negotiations, disclosures, contracts, payments, diligence processes, closings, advisory arrangements, and transaction decisions are undertaken entirely at the risk and responsibility of the participating users.

Liability Disclaimer

To the fullest extent permitted by applicable law, Capexium disclaims liability for any loss, damage, claim, cost, expense, or adverse consequence arising from or related to platform use, platform reliance, user conduct, user-generated content, technical issues, third-party services, transaction discussions, failed negotiations, data inaccuracy, delayed communications, unavailable services, or any direct or indirect business consequence connected with the platform.

Nothing in this Disclaimer excludes liability that cannot lawfully be excluded under applicable mandatory law.

Updates and Changes

Capexium may revise, expand, restructure, or update this Disclaimer from time to time to reflect platform changes, legal developments, operational requirements, technical realities, risk-management priorities, or policy improvements. Updated versions may be published on the platform and may become effective from the stated effective date.
