Capexium Legal Terms

Understand the rules that govern platform use.

These Terms of Use explain the conditions that apply to access, participation, listings, communications, paid features, and related activity across the Capexium platform.

◆

Professional participation only

Users must act lawfully, accurately, responsibly, and in good faith throughout all platform activity.

◆

No transaction guarantee

Visibility, communication, or membership status does not guarantee investment, sale, funding, or deal completion.

◆

No harvesting or automated access

Capexium prohibits scraping, data extraction, lead harvesting, and unauthorized automated access.

Legal Framework

These terms define the principal rules governing access, platform use, participation standards, and legal responsibilities across Capexium. This policy was last updated on May 30, 2026.

01

Agreement to Terms

By accessing, browsing, registering for, subscribing to, submitting content to, or otherwise using Capexium, you enter into a binding agreement with Capexium and agree to comply with these Terms of Use, together with any additional policies, notices, operating rules, feature conditions, or service-specific requirements made available through the platform.

If you do not agree to these Terms of Use, you must not access or use the platform. Continued use of the platform after changes become effective constitutes acceptance of the updated terms to the extent permitted by applicable law.

02

Eligibility and Capacity

You represent and warrant that you have the legal authority, legal capacity, and legal right to access and use the platform and to enter into binding obligations under these Terms of Use. If you use the platform on behalf of an entity, organization, fund, advisory practice, employer, or other principal, you represent and warrant that you are duly authorized to bind that party.

Capexium may limit, deny, condition, or revoke access where eligibility, age, identity, authority, regulatory status, or lawful-use concerns arise.

03

Registration and Account Security

Certain areas of the platform require registration, profile completion, verification steps, or account approval before access is granted. You agree to provide information that is truthful, current, complete, and not misleading and to keep it updated where necessary.

You are solely responsible for safeguarding login credentials, controlling account access, and all use occurring under your account, whether authorized by you or not, except to the extent caused directly by Capexium’s own proven fault. You must immediately stop unauthorized use where possible and promptly take all necessary steps to secure the account.

04

Nature of the Platform

Capexium is a digital marketplace and professional participation environment designed to support business visibility, profile presentation, listing publication, investor discovery, structured interaction, proposal activity, and other commercial or investment-related platform functions.

Capexium is not, by default, a broker, dealer, exchange, clearing system, escrow provider, bank, fiduciary, trustee, investment adviser, legal adviser, auditor, valuation provider, or guarantor of any user, transaction, listing, opportunity, communication, commercial claim, or financial outcome unless expressly stated in a separate written agreement signed by Capexium.

05

User Conduct Standards

You must use the platform lawfully, professionally, responsibly, and in good faith. You must not act in any way that is abusive, deceptive, harmful, unlawful, manipulative, technically disruptive, commercially dishonest, or inconsistent with the integrity and intended purpose of the platform.

You are responsible for your conduct, statements, submissions, representations, communications, decisions, negotiations, and actions taken through or arising from the platform.

06

Prohibited Activities

You must not engage in any prohibited activity, including without limitation: fraud, impersonation, deceptive or misleading statements, submission of false documents, unauthorized solicitation, illegal promotion, spam, harassment, intimidation, abusive conduct, malicious code transmission, system probing, credential compromise, scraping, automated extraction of platform data, reverse engineering, circumvention of platform controls, circumvention of payment or credit systems, unauthorized resale of access, abusive bulk messaging, market manipulation, unlawful fundraising, sanctions evasion, money-laundering-related use, terrorist financing, export-control evasion, or any activity exposing Capexium or its users to legal, regulatory, security, operational, or reputational risk.

Capexium may determine, in its reasonable discretion, whether specific conduct is inconsistent with these Terms of Use, even where the conduct is not expressly listed above.

07

Automated Access, Scraping, and Data Collection Prohibited

You may not access, monitor, copy, extract, harvest, scrape, crawl, index, mine, download, reproduce, enrich, aggregate, or reuse any part of Capexium, its marketplace pages, member profiles, listings, advisor profiles, seller information, investor information, articles, forum content, contact flows, or related data through bots, crawlers, scrapers, browser extensions, automated scripts, data-enrichment tools, lead-generation tools, artificial intelligence crawlers, or any similar automated or semi-automated method.

This prohibition includes collecting names, company information, profile details, listing information, marketplace activity, business opportunity data, pricing, descriptions, images, emails, phone numbers, WhatsApp details, account information, or any other data displayed on or made available through Capexium.

You may not use Capexium data to build, train, enrich, verify, resell, licence, publish, or support any database, directory, lead-generation product, sales-intelligence product, artificial intelligence model, analytics service, competing marketplace, or other commercial data product.

Access to Capexium is provided for legitimate human use and permitted search-engine indexing only. Capexium may restrict, challenge, throttle, suspend, block, or permanently deny access to any user, IP address, network, crawler, bot, tool, service, or request pattern that Capexium believes is involved in unauthorized scraping, harvesting, automated access, data extraction, platform abuse, or misuse of Capexium content or member information.

08

User Content and Platform Licence

You retain responsibility for all content, materials, data, documents, images, profile details, listing text, communications, attachments, comments, and other materials that you upload, submit, publish, send, transmit, or otherwise make available through the platform.

You represent and warrant that you own or control all rights necessary to submit such content and that the content does not violate any law, confidentiality obligation, privacy right, intellectual property right, contract term, or third-party interest.

By submitting content to Capexium, you grant Capexium a worldwide, non-exclusive, royalty-free, sublicensable, transferable, and revocable-to-the-extent-permitted licence to host, store, reproduce, adapt, format, display, distribute, moderate, process, index, archive, analyze, and otherwise use such content as reasonably necessary to operate, secure, improve, review, support, enforce, and administer the platform and its related services.

09

Communications and Contact Features

Capexium may provide messaging, proposal submission, contact request, response, profile interaction, notification, or other communication features. These tools are provided solely as a platform mechanism and do not constitute endorsement, verification of statements made, or assurance of commercial sincerity by any participating user.

You are solely responsible for all content and legal consequences of communications sent or received through the platform. Capexium may log, monitor, review, limit, preserve, disclose, or remove communications to the extent reasonably necessary for safety, compliance, fraud prevention, abuse detection, dispute handling, law-enforcement cooperation, or platform enforcement.

10

Verification, Review, and Moderation

Capexium may apply account review, content moderation, listing review, approval workflows, status checks, identity measures, readiness conditions, contact restrictions, or other platform controls before or after publication, communication, or feature activation.

Any review, moderation, validation, or approval step carried out by Capexium is for platform management, safety, and quality-control purposes only and does not constitute legal certification, investment due diligence, accounting assurance, financial recommendation, or confirmation of commercial legitimacy.

11

Fees, Credits, and Paid Access

Access to certain services, visibility levels, credits, subscriptions, account tiers, contact unlocks, proposal actions, listing functions, or other features may require payment, subscription enrolment, credit consumption, or satisfaction of separate purchase terms displayed on the platform.

Unless expressly stated otherwise by Capexium in writing or required by non-waivable law, digital access rights, platform credits, membership fees, feature unlocks, usage-based charges, and consumed services are non-refundable once allocated, enabled, consumed, granted, or made available.

Capexium may modify pricing, packaging, credit structure, entitlement scope, feature availability, and commercial terms prospectively at any time.

12

Privacy, Data Use, and Security

Your use of the platform is also subject to the applicable Capexium privacy terms, notices, and data-use practices in force from time to time. You acknowledge that platform operation may require the collection, storage, organization, transmission, review, and processing of account details, profile data, operational data, technical logs, communication records, and submitted materials.

While Capexium may apply reasonable technical and organizational security measures appropriate to the nature of the service, no online system, communication channel, storage environment, or digital workflow can be guaranteed completely secure or error-free. You remain responsible for using appropriate judgment, access control, and confidentiality safeguards when disclosing information through the platform.

13

Intellectual Property Rights

Except for user-submitted content to the extent rights remain with the relevant user or third party, all software, platform architecture, database structure, interface design, graphic systems, visual layout, names, branding, trademarks, service marks, text, code, functionality, and related materials forming part of Capexium are owned by Capexium or its licensors and are protected by applicable intellectual property and unfair-competition laws.

You may not copy, scrape, republish, frame, adapt, reproduce, distribute, sell, licence, reverse engineer, decompile, mine, or exploit any part of the platform except as expressly permitted by Capexium in writing or by mandatory law.

14

Third-Party Services and Links

The platform may incorporate, reference, rely on, or link to third-party infrastructure, payment processors, analytics systems, cloud services, messaging channels, plugins, external websites, or other tools. Capexium does not control and is not responsible for third-party services, content, uptime, practices, policies, functionality, or legal compliance, except to the extent expressly required by law.

Your use of third-party services may be governed by separate terms and privacy rules imposed by those providers.

15

Cross-Border Compliance and Restricted Use

Because Capexium may be accessed across multiple jurisdictions, you are solely responsible for ensuring that your access to and use of the platform complies with all laws, regulations, sanctions regimes, licensing restrictions, securities rules, tax obligations, anti-money laundering requirements, know-your- customer obligations, export controls, anti-bribery rules, privacy requirements, and local restrictions applicable to you, your business, your jurisdiction, your counterparties, and your proposed activity.

You must not use the platform where such use is unlawful, restricted, prohibited, or would expose Capexium to sanctions, embargo, blocked-party, prohibited-jurisdiction, export-control, or other legal compliance risk.

16

Disclaimers and No Reliance

To the maximum extent permitted by applicable law, the platform and all related services, tools, content, listings, profile information, communications, visibility features, search results, notifications, and outputs are provided on an “as is” and “as available” basis without warranties, guarantees, or representations of any kind, express, implied, statutory, or otherwise.

Capexium does not warrant uninterrupted operation, error-free performance, data accuracy, platform completeness, listing authenticity, investment suitability, legal compliance by users, transaction success, merchantability, fitness for a particular purpose, non-infringement, or the reliability of any commercial statement made by a user.

You acknowledge that all decisions taken through or in connection with the platform are made at your own risk and that independent legal, financial, accounting, tax, technical, and commercial advice may be necessary before acting on any listing, profile, communication, proposal, or opportunity.

17

Limitation of Liability

To the fullest extent permitted by applicable law, Capexium and its affiliates, owners, officers, employees, contractors, licensors, suppliers, agents, representatives, successors, and assigns shall not be liable for any indirect, incidental, special, exemplary, punitive, reliance-based, or consequential losses or damages, or for any loss of revenue, profit, business, opportunity, goodwill, data, expected savings, negotiations, transaction value, commercial relationship, market position, or reputation arising out of or relating to the platform, its use, its unavailability, its content, user conduct, third-party services, or any transaction or attempted transaction connected with the platform.

To the extent liability cannot lawfully be excluded, the aggregate liability of Capexium for claims arising out of or relating to the platform shall be limited to the minimum amount required by law or, if greater and legally enforceable, the amount paid by you directly to Capexium for the specific paid service giving rise to the claim during the twelve months immediately preceding the event giving rise to the liability.

18

Indemnity

You agree to indemnify, defend, and hold harmless Capexium and its affiliates, owners, officers, employees, contractors, licensors, agents, successors, and assigns from and against all claims, demands, actions, proceedings, losses, liabilities, damages, costs, fines, penalties, judgments, settlements, and expenses, including reasonable legal and professional fees, arising out of or related to your account, your use of the platform, your content, your communications, your conduct, your breach of these Terms of Use, your violation of law, or your infringement or misuse of any right of any person or entity.

19

Suspension, Restriction, and Termination

Capexium may, at any time and without liability, restrict, suspend, remove, disable, reject, refuse, archive, de-index, or terminate any account, listing, submission, communication, feature, visibility status, or platform access where it reasonably considers such action necessary for compliance, abuse prevention, fraud prevention, legal protection, payment enforcement, operational integrity, dispute handling, safety, or preservation of the platform environment.

Capexium may also preserve records, hold content, or maintain internal case data as necessary for compliance, fraud review, disputes, audit support, or legal enforcement.

20

Changes to the Platform and Terms

Capexium may add, remove, suspend, reconfigure, replace, or discontinue any feature, design element, workflow, access path, account category, pricing structure, membership offering, credit mechanic, visibility rule, moderation standard, or technical component of the platform at any time.

Capexium may revise these Terms of Use from time to time to reflect legal requirements, platform changes, service development, operational realities, or risk-management needs. Updated terms may be posted on the platform and shall become effective as stated in the updated version.

21

General Legal Provisions

These Terms of Use constitute the entire agreement between you and Capexium with respect to the platform unless supplemented by an additional written agreement, paid service terms, or feature-specific rules.

If any provision is found unenforceable, invalid, unlawful, or ineffective, that provision shall be interpreted to the maximum extent permitted, and the remaining provisions shall remain in full force to the extent capable of operating lawfully and effectively.

No waiver by Capexium of any breach or right shall be deemed a waiver of any later breach or any other right. Capexium may assign, transfer, subcontract, or delegate its rights and obligations under these Terms of Use. You may not assign or transfer your rights or obligations without Capexium’s prior written consent.

Provisions concerning payment obligations, intellectual property, user content licences, disclaimers, limitation of liability, indemnity, suspension rights, dispute-related record retention, and all clauses that by nature should survive termination shall survive termination or expiry of these Terms of Use.

22

Contact

Questions, notices, complaints, compliance enquiries, and legal communications relating to these Terms of Use may be directed through Capexium’s official platform contact channel or the designated business or legal contact details published by Capexium from time to time.
