How should I explain a lower profit year when selling my business?

My business has stable revenue, but profit dropped last year because of one-time relocation costs and temporary payroll increases. I do not want the company to look weak, but I know buyers will need a clear explanation.

Avoid over-adjusting. Too many add-backs make buyers suspicious. Use fewer adjustments, but support each one properly.

I would not reject the business because of one bad year, but I would ask for monthly numbers. If profit recovered after the one-off costs ended, show that clearly. If not, buyers will assume the issue is ongoing.

Prepare a clean bridge from reported profit to normalized earnings. Show each adjustment separately: relocation cost, temporary staff, one-off legal fees, unusual repairs, or owner expenses. But be careful: buyers will challenge anything that looks like normal business cost. The best support is invoices, dates, and proof the expense will not repeat.
